1. Agreement to Terms

By accessing or using the Theta State Studios website, Theta Command (our client portal and apps), and our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site.

2. Services

Theta State Studios provides video production, marketing, and related creative services. The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate agreement or statement of work.

We reserve the right to refuse service to anyone for any reason at any time.

3. Theta Command (Client Portal)

Theta Command is where we work with you: messages, files, reviews of our work, reports, invoices, and the accounts you connect for us. When you use it:

• Keep your sign-in links and codes to yourself. You're responsible for what happens under your sign-in; tell us straight away if you think someone else has used it.
• Only give portal access to people who are authorized to act for your business. Approvals made in the portal — of videos, photos, website changes, or social posts — are your approval, and approved posts are published as scheduled.
• You keep ownership of what you upload. You give us permission to store and use it to provide our services, as described in section 5.
• Don't upload anything unlawful, or anything you don't have the rights to, and don't try to access other clients' information or disrupt the service.
• We work to keep Theta Command available and secure, but it's provided as is, and may occasionally be unavailable for maintenance or reasons outside our control.

4. Accounts You Connect

You may connect accounts of yours — such as YouTube, Google Analytics, or your Facebook Page, Instagram, and Meta ad account — so we can run and report on your marketing. By connecting one, you confirm you're authorized to do so, and you allow us to access it as described in our Privacy Policy.

• YouTube access is read-only: we view your channel and its analytics, and never upload, post, edit, or delete anything on it.
• You can disconnect any account at any time, as explained in our Privacy Policy.
• Those platforms' own terms also apply to your use of them. Theta Command uses YouTube API Services, so connecting YouTube means you also agree to the YouTube Terms of Service.

6. Payment Terms

Payment terms will be specified in your project agreement. Generally:

• A deposit may be required to begin work
• Progress payments may be required at specified milestones
• Final payment is due before delivery of final files
• Late payments may be subject to interest charges
• We reserve the right to withhold deliverables until payment is received in full

Invoices issued through Theta Command can be paid online in the portal. Card and bank payments are processed by Stripe, and we never see or store your full card number.

7. Revisions and Changes

The number of revision rounds and scope of changes will be specified in your project agreement. Additional revisions or changes beyond the agreed scope may be subject to additional fees.

Major changes in project scope, concept, or deliverables may require a new agreement and additional fees.

8. Project Timeline

We will make reasonable efforts to meet agreed-upon deadlines. However, timelines are estimates and may be affected by factors including:

• Delays in client feedback or approval
• Changes in project scope
• Unavailability of required resources or talent
• Technical difficulties or unforeseen circumstances

We are not liable for delays caused by circumstances beyond our reasonable control.

9. Cancellation and Refunds

Either party may terminate a project by providing written notice. In the event of cancellation:

• You will be billed for all work completed up to the cancellation date
• Deposits are generally non-refundable
• You may receive work-in-progress files at our discretion
• We retain the right to use any concepts or work developed as part of the project

10. Confidentiality

We respect the confidential nature of information shared during our projects. We will not disclose confidential client information to third parties without permission, except as required by law or as necessary to complete the agreed services.

If your project requires a formal non-disclosure agreement (NDA), please request one before sharing sensitive information.

11. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However:

• We do not guarantee specific results or outcomes from our services
• This website and services are provided “as is” without warranties of any kind
• We are not responsible for third-party services, platforms, or tools used in projects
• We do not warrant that our website will be uninterrupted or error-free

12. Limitation of Liability

To the maximum extent permitted by law, Theta State Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability for any claims arising from our services shall not exceed the amount paid by you for the specific services giving rise to the claim.

13. Indemnification

You agree to indemnify and hold Theta State Studios harmless from any claims, damages, or expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these terms
• Materials or content you provide that infringe on third-party rights
• Your use of deliverables in a manner not authorized by the project agreement

14. Third-Party Services

Our services may involve the use of third-party contractors, services, or platforms (photographers, voice talent, music licensing, hosting services, etc.). While we carefully select our partners, we are not responsible for the performance or actions of third parties.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or our services shall be resolved in the courts located in Spokane County, Washington.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this website. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

We will update the “Last updated” date at the top of this page when changes are made.
